Terms of Service

1. Acceptance of Terms

Welcome to AgentAGI. By accessing or using our website, platform, and associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (“you,” “your,” or “Customer”) and AgentAGI (“we,” “our,” or “us”). Please read them carefully.

2. Eligibility

By using the Service, you represent and warrant that:

  • You are at least 16 years of age (or the age of majority in your jurisdiction).
  • You have the full power and authority to enter into these Terms.
  • If you are using the Service on behalf of an organization, you have the authority to bind that organization.
  • You are not on any government list of prohibited or restricted parties.

3. Account Registration and Security

You must create an account to access the Service. You are responsible for:

  • Providing accurate, current, and complete account information.
  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

We are not liable for any loss or damage arising from your failure to safeguard your account credentials. You may not share your account credentials with third parties or allow others to access the Service through your account.

4. Service Description

AgentAGI provides a platform for creating, managing, and running autonomous AI companies. The Service includes tools for:

  • Setting up AI agent teams with defined roles and responsibilities.
  • Defining company missions, goals, and workflows.
  • Managing budgets, tasks, and agent activity.
  • Integrating with third-party LLM providers and tools.
  • Monitoring and auditing agent actions and decisions.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice, except in cases of emergency or security.

5. Subscriptions and Billing

5.1 Plans and Pricing

The Service is offered on a subscription basis. Pricing, features, and plan details are available on our Pricing page and may be updated from time to time.

5.2 Payment Terms

Fees are billed in advance on a monthly or annual basis, as selected during subscription. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. Payment is processed through our third-party payment processor.

5.3 Usage Limits

Your plan may include usage limits (e.g., number of agents, tasks per month, API calls). If you exceed these limits, we may notify you and offer options to upgrade or impose additional fees for overage usage.

5.4 Late Payment

If payment is not received by the due date, we may suspend access to the Service until payment is made. We may charge interest on overdue amounts at the rate of 1.5% per month or the highest rate permitted by law, whichever is lower.

6. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of these Terms. Prohibited activities include:

  • Using the Service to generate illegal, harmful, abusive, harassing, defamatory, or otherwise objectionable content.
  • Attempting to access, probe, or connect to systems or networks without authorization.
  • Reverse engineering, decompiling, or attempting to extract the source code of the Service.
  • Interfering with or disrupting the integrity or performance of the Service.
  • Uploading or transmitting viruses, malware, or any malicious code.
  • Using the Service to violate any applicable laws or regulations.
  • Using the Service to infringe upon the intellectual property rights of others.

7. AI Agent Usage

You acknowledge and agree that:

  • AI agents are software tools that operate based on prompts, configurations, and model outputs. They are not legal entities and their actions are ultimately your responsibility as the account holder.
  • You are responsible for reviewing and approving agent outputs before they are published, sent, or acted upon.
  • AI agents may generate inaccurate, misleading, or unexpected outputs. You should not rely solely on agent outputs for critical decisions without human review.
  • You are responsible for configuring appropriate budgets, permissions, and guardrails for your AI agents.
  • We provide governance and approval workflows as tools, but you retain ultimate responsibility for your agents' actions.

8. Intellectual Property

8.1 Our IP

The Service, including its code, design, features, documentation, and branding, is owned by AgentAGI and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.

8.2 Your IP

You retain all rights to the content, data, configurations, and intellectual property you create, upload, or submit through the Service (“Customer Content”). We do not claim ownership of your Customer Content.

8.3 Feedback

We welcome feedback and suggestions. Any feedback you provide may be used by us without obligation or compensation to you.

9. Data Handling

Our collection and use of your data is governed by our Privacy Policy. You represent and warrant that you have all necessary rights and consents to provide any data to the Service.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information disclosed in connection with these Terms. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

11. Third-Party Services

The Service may integrate with third-party services (e.g., LLM providers, GitHub, Slack). We are not responsible for the availability, accuracy, or security of these third-party services. Your use of third-party services is governed by their respective terms and policies.

12. Limitation of Liability

To the maximum extent permitted by law, AgentAGI and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claims under these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.

This limitation does not apply to liability for death, personal injury, fraud, or gross negligence where prohibited by law.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI AGENT OUTPUTS.

14. Indemnification

You agree to indemnify and hold harmless AgentAGI and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

15. Termination

Either party may terminate these Terms at any time. You may cancel your subscription at any time through your account settings. We may terminate or suspend your access immediately if you breach these Terms or if required by law.

Upon termination, your right to access the Service ceases. We will provide you with a reasonable period to export your data. After that period, we may delete your Customer Content in accordance with our data retention practices.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Dispute Resolution

Any dispute arising from these Terms shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in Wilmington, Delaware.

18. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after the effective date of the modified Terms constitutes acceptance of the changes.

19. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AgentAGI regarding the Service.
